These terms cover your use of qorvertex.com, your QorVertex account, and the QorVertex software licensed to you. "We" means [QorVertex legal entity name]. By registering or by installing or using the software, you agree to them on behalf of yourself and the organization you register for.
1. Your account
Give accurate registration details and keep your license key confidential, since anyone holding your key can use your license. One account represents one person or organization. Accounts registered in bulk or with invented details are not allowed.
2. The license
While these terms are followed, we give you a non-exclusive, non-transferable license to install and run QorVertex on your own infrastructure, for your organization's internal use, within the limits of your tier.
- One installation per key. A license key is bound to the installation that first activates it. To move it to another server, contact us.
- Tier limits. Each tier allows up to a set number of lines of code under analysis. If you go over, you get a grace period, after which new scans pause until you reduce usage or upgrade. Existing data stays available.
- Check-ins. The software checks in with our license server about once a day to confirm your license and report your line count. The Privacy Policy says exactly what is sent. If check-ins stop, new scans pause once the most recent confirmation expires.
- Free tier. A Free license is free of charge and lapses if it goes a year without checking in. Registering again with the same email issues a new key.
- Paid tiers are governed by these terms together with your order and any separate agreement we sign with you. [Pricing, billing and refunds to be added when paid tiers launch.]
3. What you may not do
- bypass, disable or tamper with license checks, limits or check-ins, or run the software with a modified license key or license server;
- share, sell or publish license keys, or use one key on more than one installation;
- resell, sublicense or host QorVertex as a service for third parties without a written agreement with us;
- remove notices of proprietary rights;
- use the software in breach of law, including the export and sanctions rules in section 6.
We may suspend or revoke a license used in breach of these terms.
4. Your code and data
Your source code and everything QorVertex derives from it remain yours and stay on your infrastructure. We claim no rights in them. You are responsible for having the right to scan the repositories you connect, and for any AI provider you configure inside the product.
5. Pre-release software
QorVertex is in private beta. Features may change, and the software may contain errors. Keep your own backups. Results are produced automatically and may be incomplete; check them before relying on them for decisions.
6. Export controls and sanctions
The software is subject to United States export laws and includes encryption. You may not download, use or re-export it in or for a country or person under U.S. embargo or sanctions, or for a prohibited end use. You confirm that you are not on a U.S. government restricted-party list. [Export classification and country list to be confirmed by counsel.]
7. Ownership and feedback
We own the software and the QorVertex name, and your license gives you no other rights in them. If you send us suggestions, we may use them without obligation to you.
8. No warranty
To the extent the law allows, the software and this website are provided "as is" and "as available", without warranties of any kind, express or implied. That includes merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability is limited to the amount you paid us for the software in the twelve months before the claim, or US$100 if you paid nothing. [Caps to be confirmed by counsel.]
10. Ending the agreement
You may stop using the software at any time. You may also ask us to delete your account. We may end these terms or revoke a license if you breach them, or with notice if we discontinue a tier. When they end, stop using the software. Sections 4 and 6–11 continue to apply.
11. General
These terms are governed by the laws of [jurisdiction], with disputes heard in [venue]. If a provision is unenforceable, the rest still applies. We may update these terms. When we do, we will change the date above, and we will email registered users about material changes. Using the software after a change means you accept it.
